Client Participation Terms
Version effective as of 2026-04-14. These terms apply to invited clients using the CleverContracts portal.
The CleverContracts client portal provides engagement-scoped access to review scope and terms, see a change history, communicate with the freelancer, and approve or decline requested changes.
The portal is not a standalone service — it is an extension of the freelancer's workspace. Your access is limited to the specific engagement(s) to which you have been invited.
CleverContracts is operated by Lionel Wermelinger and Fynn Auerbach (doing business as CleverContracts). CleverContracts is not a party to your agreement with the freelancer and does not provide legal advice.
Portal access is granted per engagement via a secure invite from the freelancer. To view any engagement content, you must verify your identity by entering a one-time code (OTP) sent to the email address matching the invitation.
You do not need to create an account. Your portal session is valid for up to 30 days, after which you may need to re-verify.
Forwarding an invite link does not grant access — verification must match the invited email address. Please keep invite links private and do not share them.
The freelancer may revoke your portal access at any time. Upon revocation, you will no longer be able to view the engagement.
When you approve or decline a scope version or change request, CleverContracts records your decision along with a typed name confirmation and a timestamp. This is intended to create a clear, attributable record of what was approved or declined.
Both you and the freelancer may receive a receipt-style confirmation of decisions. The freelancer and you can export decision records at any time.
If something is unclear, you can decline and provide a brief reason, or send a message asking the freelancer for clarification before making a decision.
Each engagement has a single message thread shared between you and the freelancer. You can send text messages and, where enabled, upload file attachments (maximum 20 MB per file).
You may also propose changes to the engagement scope through the portal. Proposed changes follow the same review and approval workflow as freelancer-initiated changes.
Messages and uploads are subject to rate limits to prevent abuse. If you encounter abusive or inappropriate content from the freelancer, you can use the built-in report tool. Reporting may temporarily restrict messaging while the report is reviewed.
Some content expires automatically to minimize long-term data exposure:
- Message content expires after 18 months from creation
- File attachments expire after 6 months from upload
Expired content is shown as a clear placeholder — nothing silently disappears.
Durable records — approved scope versions and decision receipts — persist as the long-term proof of what was agreed and remain accessible through the portal as long as the engagement exists.

The freelancer who invited you is the data controller for your engagement data (messages, decisions, contact information within the engagement context). CleverContracts acts as a processoron the freelancer's behalf for this data.
For data that CleverContracts processes as controller (such as portal session data and security logs), our Privacy Policy applies.
If you have questions or requests about your personal data within the engagement (access, correction, deletion), please contact the freelancer directly. CleverContracts will assist the freelancer in responding to such requests as needed.
Please use the portal respectfully and lawfully. You agree not to:
- Send abusive, threatening, or unlawful content
- Upload files containing malware or infringing material
- Attempt to access engagements you have not been invited to
- Share or forward invite links to unauthorized persons
CleverContracts may place temporary safety holds on content that has been reported. Repeated violations may result in restricted portal access.
You may receive email notifications about engagement activity (new messages, approval requests, reminders). Notification emails contain no message snippets or attachments — they direct you to the portal to view content securely.
You can unsubscribe from non-essential notifications at any time using the link provided in each email. Essential security and verification emails cannot be unsubscribed from.
Swiss law applies. The venue for disputes is Aarau, Canton Aargau, Switzerland. Mandatory local laws may still apply where required.
We may amend these terms at any time. The current version published on our website shall apply. Continued use of the portal after an amendment constitutes acceptance of the updated terms.
